1. Agreement to Terms
These Terms of Service (the "Terms") constitute a legally binding agreement between you (the "User," "you," or "your") and Theia Real Estate Private Limited ("Theia Estate," "Company," "we," "us," or "our"), a company incorporated under the Companies Act, 2013.
IMPORTANT: By accessing our website, registering for a Partner or Investor account, or clicking "I Agree" to these Terms where this option is made available to you, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms.
IF you do not agree to these Terms, you are strictly prohibited from using the Platform and must discontinue use immediately.
2. Definitions
- "Platform" refers to the Theia Estate website, mobile applications, Channel Partner Portal, and Investor Dashboard.
- "Services" refers to the real estate advisory, asset management assistance, investment thesis distribution, and transaction facilitation provided by Theia Estate.
- "Investment Thesis" refers to proprietary research, market analysis, and asset projection documents provided by Theia Estate.
- "Channel Partner" refers to any broker, agent, or agency registered with us to introduce clients or facilitate deals.
- "Investor" refers to any individual or entity utilizing our Services to evaluate or purchase real estate assets.
3. Nature of Advisory Services (Disclaimer)
3.1. Informational Purpose Only
Theia Estate operates as a strategic real estate consultancy. All "Investment Theses," market reports, ROI projections, and asset recommendations provided on the Platform are for informational and educational purposes only. They do not constitute certified financial advice, legal counsel, or tax advice.
3.2. No Guarantee of Performance
You acknowledge that real estate markets are volatile.
- Past Performance: Historical appreciation of similar assets is not a guarantee of future performance.
- Forward-Looking Statements: Any statements regarding potential ROI, rental yields, or capital appreciation are estimates based on current market data and are subject to change.
- Risk: You agree that Theia Estate is not liable for any financial loss, liquidity constraints, or market downturns affecting your investment.
3.3. Independent Due Diligence
It is your sole responsibility to conduct independent due diligence regarding the title, RERA status, and encumbrances of any property before making a financial commitment.
4. User Accounts and Security
4.1. Account Creation
To access restricted parts of the Platform (e.g., Investment Dashboards or Partner Portals), you must register an account. You represent that all information provided during registration (including KYC and professional credentials) is true, accurate, and current.
4.2. Credentials
You are responsible for maintaining the confidentiality of your login credentials. You notify us immediately of any unauthorized use of your account. Theia Estate is not liable for any loss or damage arising from your failure to protect your password.
5. Specific Terms for Channel Partners
5.1. Professional Standing
By registering as a Channel Partner, you warrant that you hold a valid RERA Agent Registration (where applicable by law) and have the legal capacity to broker real estate transactions.
5.2. Lead Integrity & Anti-Fraud
- You agree not to upload false, manufactured, or duplicate leads into the Partner Portal to manipulate attribution systems.
- You agree not to engage in "poaching" of clients already registered with Theia Estate through other channels.
- Consequence: Violation of this clause will result in immediate termination of your account and forfeiture of any pending commissions.
5.3. Confidentiality of Proprietary Data
You acknowledge that "Investment Theses" and inventory data provided via the Portal are the intellectual property of Theia Estate. You are granted a limited license to share these strictly with your direct clients. You may not publish, reproduce, or resell this data to third parties or competing brokerages.
6. RERA Compliance and Developer Liability
6.1. Role as Intermediary
Theia Estate acts as a strategic marketing partner and real estate agent. We are not the Developer or Promoter of the projects unless explicitly stated.
6.2. Developer Responsibility
- All obligations regarding project completion, delivery timelines, construction quality, and legal title rest solely with the Developer/Promoter of the respective project.
- Theia Estate shall not be held liable for any delay, default, or insolvency of the Developer.
- Your contract for the purchase of property (Agreement for Sale) is strictly between you and the Developer.
7. Prohibited Uses
You agree not to:
- Scrape or Crawl: Use automated systems (robots, spiders) to access or copy data from the Platform.
- Reverse Engineer: Attempt to decompile or reverse engineer any software or algorithms used by the Platform.
- Circumvention: (For Partners) Attempt to bypass Theia Estate to conclude transactions directly with Developers introduced through our Platform to avoid revenue-sharing obligations.
8. Intellectual Property
8.1. Ownership
All content on the Platform, including text, graphics, logos, investment models, and software, is the exclusive property of Theia Estate and is protected by Indian and international copyright and trademark laws.
8.2. License
We grant you a limited, revocable, non-exclusive license to access the Platform for personal use (for Investors) or business use (for Partners). This license does not include any resale or commercial use of the Platform's contents.
9. Limitation of Liability
9.1. "As Is" Basis
The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.
9.2. Cap on Liability
To the fullest extent permitted by law, Theia Estate, its directors, and affiliates shall not be liable for any indirect, incidental, or consequential damages (including loss of profits). In no event shall our total liability to you for all damages exceed the amount paid by you to Theia Estate for specific advisory services in the past six (6) months, or ₹5,000 (Indian Rupees Five Thousand), whichever is lower.
10. Indemnification
You agree to indemnify and hold harmless Theia Estate against any claims, damages, or legal fees arising from:
- Your violation of these Terms;
- Your misuse of the Platform;
- (For Partners) Any misrepresentation made by you to a client regarding a property or Theia Estate.
11. Dispute Resolution and Jurisdiction
11.1. Governing Law
These Terms shall be governed by the laws of India.
11.2. Exclusive Jurisdiction
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka.
12. Modifications
We reserve the right to modify these Terms at any time. Significant changes will be communicated to registered users. Your continued use of the Platform after such changes constitutes acceptance of the new Terms.
